That is a very good question. There is a very fine line between the two, and I would not be suprized if these lawsuite put them into the same boat.
The FTC has some information on MLM

In a nutshell:
MLM is legal as long as the basis of the company is not to recruit other members. If everyone in the world signed up and the company could still continue to strive on sales of a viable product or service then it is okay.

Laws are different everywhere, in some US states, MLM is deemed illegal, but in all of Canada is is fully legal - there are even laws for 'proper competition' in MLM companies. I have heard that in England any type of MLM, including matrix sites, are completely illegal, but I could not confirm it.
